Terms of Service
Effective Date: 17th July 2025
This Terms of Use Agreement (“Agreement”) is entered into between you (“Client”, “You”) and Pazion Private Limited, operating under the trade name Pacific Pixels, a company registered in India (“Pacific Pixels”, “We”, “Us”, “Our”). This Agreement governs your use of our website https://www.pacificpixels.pro (the “Website”) and all associated services, products, communications, and content (collectively, the “Services”).
Acceptance of Terms
By accessing or using our Website or Services, you agree that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you are using our Services on behalf of an organization, you confirm that you have the authority to bind that organization to these Terms. If you do not agree, please discontinue use immediately.
1. Intellectual Property
All content on this Website, including visuals, code, structure, text, animations, trademarks, and any other media, is owned by or licensed to Pacific Pixels and is protected by applicable Indian and international copyright and trademark laws. Nothing may be reproduced or redistributed without our express written permission.
2. Ownership of Deliverables
All original design work created by Pacific Pixels for you, including branding, UI/UX, websites, pitch decks, or promotional material (“Deliverables”), will become your property upon full payment. Any unpaid work remains our intellectual property.
Client confirms they own or have permission to use any content provided to us (e.g., logos, images, fonts). Pacific Pixels retains the right to showcase the completed work in its portfolio unless a separate NDA is signed.
3. Third-Party Licenses (e.g. Fonts, Plugins)
If your project includes third-party fonts, media, or plugins that require a separate license, we’ll notify you and you must procure the appropriate license(s). We are not liable for any misuse arising from your failure to do so.
4. Client Conduct
You agree not to:
• Violate any law or regulation
• Use bots, scrapers, or reverse-engineering tools
• Copy, duplicate, or rehost our intellectual property
• Upload malware or interfere with site functionality
• Misrepresent yourself or your intentions
5. Service Eligibility
By using our site, you affirm that:
• You are legally competent to enter contracts
• You are using this service for lawful purposes
• You provide truthful information
6. Feedback & Suggestions
Any feedback, ideas, or suggestions you share with us may be used freely by us for any purpose without compensation or attribution. This does not affect your ownership of paid deliverables.
7. Privacy Policy
By using our Services, you agree to our Privacy Policy (linked separately on the Website). Our systems may collect data such as session behavior, contact information, or payment details, in accordance with applicable Indian data protection laws. In accordance with the United States’ Children’s Online Privacy Protection Act, upon the receipt of actual knowledge that an individual under the age of 13 has provided personally identifiable information to Pacific Pixels without parental consent, Pacific Pixels shall delete that information as soon as reasonably practical.
8. Refund & Cancellation Policy
All sales are final unless otherwise explicitly agreed upon in writing. Refund requests must be submitted via an official communication channel, such as our Slack workspace, email, or any other mutually accepted method.
All refund requests will be evaluated on a case-by-case basis at our sole discretion. We will review and respond to the request within 7 business days from the date of receipt.
If a refund is approved:
• The refund will be processed promptly, and funds will typically return to your original payment method within 5–10 business days.
• You are prohibited from using any work or materials delivered before the refund was approved.
Refunds are only considered if:
• The service was not delivered as agreed,
• There is clear documentation supporting the claim,
• The Client has not breached any part of this Agreement.
You may cancel your subscription or service engagement with Pacific Pixels at any time by notifying us via an official communication channel such as email or your assigned Slack workspace or any other mutually accepted method.
Cancellation Before Project Start:
If cancellation occurs before any work has begun, a full refund may be issued, minus any applicable payment processor fees (e.g., Stripe transaction charges).
“Work” includes any planning, strategy, kickoff meetings, or design commencement.
Cancellation After Project Has Started:
If cancellation occurs after work has commenced but before project completion, no refund will be issued for the amount paid. However, the remaining unused portion of future services (for example, in a prepaid subscription) may be refunded at our discretion.
Work completed up to the cancellation point will remain billable and is non-refundable.
Ongoing Subscriptions:
For retainer or recurring monthly services, cancellation requests must be submitted at least 7 days before the next billing cycle to avoid being charged for the upcoming month.
No partial refunds will be issued for unused time within the current billing cycle once the month has started.
One-Time Projects:
For milestone-based or fixed-scope projects, cancellation requests do not entitle the client to a refund once a milestone has been delivered and/or approved.
If a project is canceled mid-way, deliverables produced up to that point will be transferred to the client upon final settlement of the current invoice.
9. Payment Terms
We accept payments in USD through Stripe. Payments must be completed before project initiation or as per agreed milestones. In case of late payments, work may be paused or delayed.
10. Modification & Termination
We reserve the right to modify these Terms at any time. Continued use of the Website after such modifications indicates your acceptance. We also reserve the right to refuse or terminate service for any reason at our discretion.
11. Limitation of Liability
To the fullest extent permitted by law, Pacific Pixels is not liable for any direct or indirect damages arising from your use of our Website or Services, including but not limited to loss of profits, delays, data loss, or service interruption.
12. Indemnification
You agree to indemnify and hold harmless Pacific Pixels and its team from any claims or liabilities resulting from your breach of these Terms or misuse of our Services.
13. Service Interruptions
We do not guarantee continuous availability of the Website or Services. Downtime may occur due to technical issues, maintenance, or unforeseen disruptions.
14. Governing Law & Jurisdiction
This Agreement is governed by the laws of The Republic of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in State of Maharashtra.
15. Communication Consent
By engaging with us, you consent to receive emails and communications from us, including invoices, proposals, and service-related notices.
16. Licensing Compliance
Clients are responsible for ensuring proper licensing of all third-party assets (fonts, images, etc.) used in their projects unless expressly provided by Pacific Pixels with proof of transferability.
17. Portfolio Rights
We may showcase completed work for marketing purposes unless otherwise agreed in writing. Signing an NDA nullifies this clause.
18. Entire Agreement
These Terms represent the entire agreement between you and Pacific Pixels and supersede all prior communications. If any provision is deemed invalid, the remainder shall still apply.
